Platform Fees, Event Activation, App Upgrades, Billing, Cancellation, and Refund Terms

Plain Summary

These Terms govern fees paid directly to CelebrateSync / HostHaven for platform services, Event activation, app upgrades, subscriptions, storage, media tools, messaging credits, internal digital tools, and other platform features.

These Terms do not govern supplier payments, venue payments, catering payments, photography payments, supplier deposits, supplier payouts, escrow, split payments, marketplace checkout, or customer-to-supplier settlement at initial launch.

Platform payment records, paid/unpaid notes, supplier balance notes, deposit notes, or invoice notes entered by Organizers are informational records only. They do not mean the Operator collected, verified, held, released, refunded, guaranteed, or settled supplier funds.

Refund eligibility may differ by fee type. Mandatory consumer rights remain preserved.

1. Purpose and Scope

These Platform Fees, Event Activation, App Upgrades, Billing, Cancellation, and Refund Terms govern fees paid directly to the Operator for platform services.

These Terms may apply to HostHaven usage fees, Event activation fees, CelebrateSync app upgrades, paid account features, subscriptions, storage, media tools, messaging credits, internal digital tools, premium-style access, support add-ons, and other fees displayed by the platform.

These Terms do not govern supplier payments, customer-to-supplier settlement, venue payments, supplier deposits, catering payments, photography payments, Event-service balances, supplier payouts, marketplace checkout, escrow, split payments, supplier commissions, or supplier-service refunds unless a separate reviewed payment or marketplace agreement expressly applies.

2. Relationship With Other Policies

These Terms supplement, and do not replace, the Terms of Service, Privacy Notice and Data Rights Policy, Privacy Notice Acknowledgment and Consent Form, HostHaven Organizer Platform Addendum, CelebrateSync App Addendum, Supplier Network Policy, Messaging Addendum, Spark Points Program Terms, Media Policy, Cookie and Marketing Policy, and any applicable Event-specific or feature-specific rules.

In case of conflict, the document most specific to the relevant fee, payment, billing, refund, or feature entitlement will generally apply, subject to applicable law and counsel-approved publication hierarchy.

3. Platform Fees

Platform fees may include:

HostHaven usage fees; Event activation fees; CelebrateSync app upgrades; paid account features; subscriptions; storage fees; media tool fees; messaging or SMS credits; premium planning tools; internal digital tools; support add-ons; feature-limit upgrades; and other platform fees displayed before purchase.

Platform fees are charged for access to software, digital tools, platform features, storage, communication tools, or related services. They are not supplier fees unless expressly stated in a separate reviewed and approved agreement.

4. No Supplier Funds at Initial Launch

At initial launch, the Operator does not collect, hold, release, settle, escrow, split, or disburse supplier funds.

The Operator does not process supplier deposits, supplier booking payments, Event-service balances, supplier payouts, supplier commissions, supplier-service refunds, venue payments, catering payments, photography payments, or marketplace checkout funds unless separately reviewed, approved, disclosed, and released.

Organizer-entered supplier payment records, deposit notes, due amounts, balance records, paid/unpaid labels, invoice notes, or payment-status fields are informational and operational records only.

Such records do not prove that a payment was made, received, verified, held, released, refunded, guaranteed, or processed by the Operator.

5. Event Activation Fees

Event activation may unlock Event-specific tools or limits for a particular Event.

Depending on the package or plan, Event activation may include access to:

Event workspace setup; guest-list tools; RSVP tools; QR pass generation; QR check-in tools; guest limits; invitation tools; messaging limits; seating tools; program tools; staff roles; client approval tools; supplier coordination tools; media delivery tools; private gallery features; Event reports; and other Event-specific features shown at purchase.

The activation screen or purchase flow should disclose the included features, Event duration, usage limits, guest limits, storage limits, messaging limits, role limits, expiration rules, cancellation rules, and refund eligibility where applicable.

6. App Upgrades and Internal Digital Tools

CelebrateSync app upgrades may unlock internal digital features, account limits, storage, media tools, planning tools, badges, themes, premium-style access, or other in-app features.

App upgrades do not represent external goods, supplier services, Event deposits, gift certificates, wallet balances, cash value, marketplace credits, or rights to receive third-party services.

Paid app upgrades are separate from Spark Points unless expressly stated in counsel-approved terms.

Spark Points are not a payment method, refund method, supplier credit, wallet balance, marketplace credit, or substitute for paid app upgrades.

7. Subscriptions

Where subscriptions are enabled, the platform should disclose the subscription price, billing period, renewal period, renewal date, trial period where applicable, cancellation method, feature limits, storage limits, included services, and any material restrictions before purchase.

Subscriptions may renew automatically where disclosed and permitted by the applicable payment provider, app store, or law.

App-store subscriptions may need to be managed through the User’s Apple App Store or Google Play account, depending on how the subscription was purchased.

Cancelling a subscription may stop future renewal but may not automatically refund prior charges unless required by law, app-store policy, payment-provider policy, or the applicable refund terms.

8. Messaging Credits and SMS Credits

Where messaging credits, SMS credits, or similar paid communication credits are enabled, they may be prepaid, non-transferable, non-cash, limited to platform messaging functions, and subject to expiration, delivery limitations, provider rules, abuse controls, rate limits, and refund terms disclosed at purchase.

Messaging credits do not guarantee delivery, opening, reading, RSVP completion, attendance, supplier booking, sales, or Event outcome.

Messaging credits are not stored value, electronic money, wallet balances, supplier credits, marketplace credits, cash equivalents, gift certificates, prizes, raffle entries, or transferable property.

The Operator may restrict, reverse, suspend, or forfeit messaging credits where permitted by law and applicable terms if used for spam, fraud, abuse, illegal activity, unauthorized contact lists, or evasion of opt-outs or provider limits.

9. Storage and Media Fees

Where storage, Memory Vault, media archival, premium gallery, cloud export, or long-term media access features are enabled, the purchase flow should disclose storage limits, duration, renewal rules, deletion rules, export availability, access limits, downgrade effects, and what happens when the Event, subscription, upgrade, or Account ends.

Storage or media fees do not transfer copyright ownership, media ownership, photographer rights, subject consent, or supplier portfolio rights.

Deletion, expiration, cancellation, or downgrade may affect access to stored media, subject to legal holds, backup retention, Event Data rules, Organizer-controlled records, privacy requests, and lawful exceptions.

10. Taxes, Prices, and Billing Details

Prices may be inclusive or exclusive of applicable taxes, fees, payment-provider charges, or app-store charges depending on the displayed terms and purchase flow.

Users are responsible for providing accurate billing details, tax information where requested, invoice information, account information, payment method details, and contact information.

The Operator may retain invoices, receipts, payment records, billing records, entitlement records, transaction identifiers, tax records, refund records, chargeback records, and related evidence as required or permitted by law, accounting rules, fraud prevention, dispute handling, or legal defense.

11. Payment Providers and App Stores

Payments may be processed through third-party payment providers, app stores, banks, card networks, wallet providers, or other authorized processors.

Third-party payment-provider or app-store terms may apply in addition to these Terms.

The Operator may not control all payment-provider decisions, app-store refund decisions, authorization holds, chargeback handling, payment processing delays, currency conversion charges, bank fees, card fees, wallet fees, or mobile-provider charges.

The availability of a payment provider or technical integration does not mean supplier settlement, marketplace checkout, escrow, split payments, or supplier payouts are enabled.

12. Cancellation

Cancellation rules may differ depending on the fee type, purchase channel, payment provider, app store, subscription plan, Event activation status, digital-service consumption, storage usage, and feature entitlements.

Where cancellation is available, the platform or purchase flow should explain how cancellation works and whether cancellation stops future charges, disables access, preserves access until the end of a billing period, or triggers any refund eligibility.

Cancelling an Event, deleting an Account, deleting the app, declining an invitation, closing a supplier profile, or disabling a feature does not automatically cancel a paid subscription or payment obligation unless the applicable cancellation process is completed.

13. Refunds

Refund eligibility should be stated for each fee type or purchase flow where reasonably practicable.

The Operator may deny refunds where legally permitted for:

consumed digital services; completed Event activation; expired access; used messaging credits; used storage or media features; completed support add-ons; abuse or fraud; chargeback misuse; violation of platform rules; account suspension caused by user violation; or services already delivered as described.

Mandatory consumer rights, non-waivable statutory rights, app-store refund rules, and payment-provider rules remain preserved.

The Operator may provide goodwill credits, platform credits, extensions, or partial refunds at its discretion where lawful, but doing so does not create an obligation to provide the same remedy in the future.

14. Failed Payments

The Operator may suspend, restrict, downgrade, or disable paid features, Event workspaces, app upgrades, storage, subscriptions, messaging credits, or other entitlements where payment fails, is reversed, is disputed, is suspected fraudulent, or cannot be verified.

The Operator may attempt to reprocess payment where permitted by the payment provider and applicable terms.

Failure to pay may affect access to paid features but does not automatically delete Event Data, media, billing records, support records, security logs, or legal records.

15. Chargebacks and Payment Disputes

Users should contact support or billing first regarding billing concerns, duplicate charges, mistaken charges, failed payments, cancellation issues, or refund questions.

The Operator may investigate payment disputes using account records, Event records, entitlement records, payment-provider records, support records, usage logs, invoices, receipts, and related evidence.

Chargeback abuse, fraudulent disputes, repeated reversals, or payment misuse may result in account restriction, paid-feature suspension, Event workspace restriction, loss of promotional eligibility where lawful, or denial of further credit-based services where permitted.

16. Entitlement Limits and Feature Changes

Paid access may be subject to guest limits, Event limits, storage limits, role limits, message limits, feature limits, device limits, time limits, region limits, account limits, or other restrictions shown in the purchase flow or plan description.

The Operator may modify, replace, discontinue, suspend, or limit features for legal, technical, app-store, security, fraud-prevention, product, supplier, cost-control, or operational reasons.

Where reasonably practicable, the Operator may provide notice of material changes to paid features. Immediate changes may be made where needed to protect security, comply with law, prevent abuse, respond to provider requirements, or manage legal risk.

17. Free Trials, Discounts, and Promotions

Where free trials, introductory pricing, coupons, discounts, referral credits, promotional credits, loyalty benefits, or similar offers are enabled, the offer terms should disclose eligibility, duration, limitations, renewal price, cancellation method, expiration, and whether unused benefits are refundable.

Discounts, credits, or promotions must not be used in a way that creates an undisclosed sales promotion, raffle, chance prize, supplier-payment credit, or misleading benefit.

Spark Points are governed separately by the Spark Points Program Terms and should not be treated as cash, stored value, a refund method, supplier credit, marketplace credit, or external reward.

18. No Guarantee of Event Outcome

Payment for platform features does not guarantee RSVP rates, guest attendance, message delivery, supplier performance, venue availability, Event success, sales, reviews, ratings, media quality, check-in accuracy, or Event outcome.

HostHaven and CelebrateSync provide software and digital tools. Organizers remain responsible for Event planning, Event legality, guest communications, supplier selection, venue coordination, safety, permits, accessibility, and fulfillment.

19. Account Deletion and Billing Records

Account deletion, Event deletion, or app deletion does not automatically erase billing records, invoices, receipts, transaction records, entitlement records, chargeback records, support records, tax records, security logs, legal records, or records retained under legal hold.

Billing and payment-related records may be retained as necessary for accounting, tax, audit, fraud prevention, dispute handling, legal compliance, privacy-request handling, and defense of claims.

Account deletion is subject to the Account Deletion, Data Rights, Retention, and Legal Hold Policy.

20. Future Marketplace and Supplier Payment Features

Future supplier checkout, marketplace booking, supplier settlement, supplier payouts, split payments, escrow, commissions, customer-to-supplier refunds, booking guarantees, or supplier-payment protection features may require a third-party payment provider and separate legal, tax, regulatory, consumer-protection, privacy, and operational review.

No such feature is active merely because a payment provider is technically integrated, a supplier payment note exists, a supplier profile exists, a supplier is listed, a booking is recorded, or a payment-status field appears in HostHaven.

A supplier-payment or marketplace feature will be treated as enabled only when it is available in the production user interface, supported by the applicable operational process, and covered by any required terms, privacy disclosures, billing disclosures, payment-provider configuration, regulator review, and internal launch approval.

21. Abuse, Fraud, and Misuse

Users must not misuse billing, cancellation, refunds, credits, subscriptions, app upgrades, storage, Event activation, or messaging credits.

Prohibited misuse includes fake accounts, fraudulent payments, stolen payment methods, chargeback abuse, refund abuse, coupon abuse, promotion abuse, resale of accounts, unauthorized transfer of entitlements, misleading supplier-payment claims, fake Event activation, or attempts to convert platform credits or Spark Points into external value.

The Operator may restrict, suspend, reverse, remove, or investigate entitlements, credits, paid access, subscriptions, Event activations, or Accounts where misuse is suspected.
